• By using our services, you confirm that you are at least 18 years old and legally capable of entering into a binding agreement
• If you are acting on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms
• Continued use of our services after any modifications to these Terms constitutes your acceptance of the revised Terms

Infolith IT Solutions provides a range of professional IT services, including but not limited to:

• Custom software and web application development
• UI/UX design and branding
• Mobile app development
• IT consulting, support, and maintenance
• SEO, digital marketing, and cloud hosting solutions

Specific deliverables, timelines, and pricing for each engagement will be defined in a project-specific proposal or agreement.

As a client, you agree to:

• Provide accurate, complete, and up-to-date information required for project delivery
• Cooperate actively with our team throughout the service engagement
• Make payments on time as per the agreed schedule or invoice terms
• Respect our intellectual property rights and confidentiality obligations
• Provide timely feedback and approvals to avoid project delays

• All payments must be made according to the terms specified in the invoice or signed agreement
• Late payments may incur interest charges as outlined in the project agreement
• All prices are exclusive of applicable taxes (e.g., GST) unless explicitly stated otherwise
• Work may be paused or withheld if payment obligations are not met on time

• All software, code, designs, content, and materials created by Infolith remain our intellectual property unless otherwise agreed upon in writing
• Upon full payment, clients receive a non-exclusive, non-transferable licence to use deliverables for their intended purpose
• Clients may not resell, sublicence, or redistribute our work without prior written consent

• Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement
• Confidential information must not be disclosed to third parties without prior written consent
• This obligation remains in effect for 2 years after the termination of the agreement

• Our services are provided "as is" without warranties of any kind, express or implied
• We do not guarantee that services will be completely error-free or uninterrupted at all times
• We disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement

To the maximum extent permitted by applicable law, Infolith IT Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or business opportunities — arising from the use of or inability to use our services, even if we have been advised of the possibility of such damages.

Our total cumulative liability in connection with any claim shall not exceed the amount paid by you for the relevant services in the preceding 3 months.

• Either party may terminate the agreement with written notice if the other party materially breaches any term and fails to remedy the breach within 14 days of notification
• Upon termination, the client shall promptly pay for all services rendered and legitimate expenses incurred up to the termination date
• We reserve the right to suspend or terminate access if a client engages in unlawful activities or abusive behaviour

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws provisions. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Jaipur, Rajasthan.

• Continued use of our services following any changes constitutes your acceptance of the new Terms
